B. Customer Data processed on behalf of clients

Our clients (businesses) may use our Services to communicate with their customers and leads (for example, via website chat, SMS, phone calls, email, appointment booking, and review requests). In that context, Apex Meridian may process “Customer Data,” which can include:

Names, phone numbers, emails, and appointment details

Chat messages and form responses

Call metadata such as date/time, duration, and routing (for example, whether a call was answered or escalated)

Review content and related customer feedback

Other data submitted by the client or captured through client-approved workflows

Call recordings and transcripts: Apex Meridian does not record calls or store call transcripts as part of our Services.

Important: When we process Customer Data for a client, we act as a service provider/processor for that client. The client controls what is collected and how it is used.

2) How We Use Information

3) How We Share Information

With our clients when we process Customer Data on their behalf (for example, delivering lead details, call outcomes, appointment bookings, and review responses back to the client).

We do not sell personal information for money.

4) AI, Automated Decisions, and Human Review

5) Communications (Calls, Texts, Email) and Consent

Our Services may send or place calls and texts on behalf of clients for:

No-show reduction messages

Customer support and common inquiries

Review requests

Clients are responsible for obtaining any legally required consent from their end users (including TCPA compliance for texts/calls in the U.S.). We provide tools to support consent, opt-out, and logging.

Opt-out: If you receive text messages powered by our platform, you may be able to opt out by replying STOP (if enabled by the client).

6) Cookies and Tracking Technologies

We use cookies and similar technologies to:

Measure performance and usage

Improve and secure the Services

You can control cookies through your browser settings and (if available) site cookie controls.

7) Data Retention

We retain information only as long as necessary to:

Provide the Services and support

Retention length can depend on client settings and contractual requirements. Clients may request deletion of Customer Data where applicable.

If you access the Services from outside the country where our servers or providers are located, your information may be transferred and processed in those locations. Where required, we use appropriate safeguards for cross-border transfers.

If you are an end user interacting with a client’s AI assistant/chat/phone system, contact the business you interacted with first. If needed, you can also contact Apex Meridian using Section 12.

Appointment reminders and no-show protection via calls/texts

Specific features available to you depend on your subscription and configuration.

2) Eligibility and Account Responsibility

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for:

All activities under your account

Providing accurate and current information

3) Client Responsibilities and Compliance (Critical)

You are responsible for compliance with all applicable laws and regulations related to your use of the Services, including but not limited to:

TCPA and telemarketing laws (calls/texts), including required consent and opt-outs

CAN-SPAM (email communications)

Privacy laws (state, federal, and international as applicable)

Call recording and monitoring laws (one-party vs. two-party consent)
Note: Our Services do not record calls or store call transcripts, but you are responsible for compliance for your overall communications and any third-party tools you use.

Industry-specific requirements (e.g., healthcare, financial services) if applicable

You will not use the Services to send unlawful, deceptive, or abusive communications.

4) Authorized Use and Restrictions

You may use the Services only for legitimate business purposes. You may not:

Reverse engineer or attempt to extract source code or model prompts

Use the Services to violate laws or third-party rights

Circumvent rate limits or security controls

Transmit malware or harmful code

Use the Services for spam, harassment, or deceptive practices

Use the Services to make high-risk decisions where errors could cause harm without appropriate human review (e.g., medical diagnosis, legal advice)

5) AI Outputs and Disclaimers

AI-generated responses, summaries, classifications, and recommendations may be inaccurate or incomplete. You are responsible for:

Reviewing outputs for accuracy when needed

Ensuring messaging reflects your policies and legal requirements

Confirming appointments, pricing, and commitments before relying on automated output

We do not guarantee increased revenue, lead conversion, review ratings, or specific business outcomes.

6) Integrations (Calendars, Phone, SMS, CRM, Websites)

The Services may integrate with third-party platforms (e.g., Google/Microsoft calendars, CRMs, website tools, SMS/voice providers). Your use of third-party services is governed by their terms. We are not responsible for third-party outages, errors, or policy changes.

7) Fees, Billing, and Taxes

Fees, billing frequency, and included usage limits will be set out in your order form, subscription page, or statement of work. You agree to pay:

Subscription fees

Usage-based charges (if applicable, such as call minutes, SMS volume, or message volume)

Applicable taxes

Late payments may result in suspension or termination of Services.

8) Term, Suspension, and Termination

These Terms remain effective while you use the Services. We may suspend or terminate access if:

You violate these Terms

You fail to pay fees when due

Your use poses a security risk, legal risk, or operational harm

Required by law

Upon termination, your right to use the Services ends. Data access/export may be available per your plan and applicable law.

9) Confidentiality

If we receive non-public information about your business (including scripts, workflows, pricing, and customer lists), we will treat it as confidential and use it only to provide the Services, subject to our Privacy Policy and any separate agreement.

10) Intellectual Property

We own the Services, software, and underlying technology. You retain ownership of your content and Customer Data. Subject to these Terms, you grant us a limited license to process your content solely to provide and maintain the Services.

11) Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX MERIDIAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO APEX MERIDIAN FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so portions may not apply.

13) Indemnification

You agree to defend, indemnify, and hold harmless Apex Meridian and its officers, directors, employees, and contractors from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the Services

Your communications with end users

Your violation of law or third-party rights

Your content or Customer Data

14) Governing Law and Venue

These Terms are governed by the laws of Florida, USA, without regard to conflict-of-law rules. Any dispute will be brought in the courts located in [INSERT COUNTY/STATE], and you consent to jurisdiction and venue there.
